Terms of Service

1. Who May Use the Services

The Services are intended for use by coaches, trainers, physical therapists, schools, gyms, clubs, organizations, and other authorized professionals ("Authorized Users"). You represent that you have authority to accept these Terms on behalf of yourself and, where applicable, any organization or individuals you represent.

2. No Medical or Professional Advice

STRIX does not provide medical advice, physical therapy, rehabilitation, diagnosis, or treatment.

• • STRIX is not a licensed medical provider.
• • No doctor–patient, therapist–patient, or similar relationship is created.
• • The Services are not a substitute for professional medical advice.

All content, outputs, and recommendations are provided for informational and educational purposes only.

3. AI-Assisted Outputs and Coach Responsibility

The Services may generate training plans, exercise suggestions, demonstrations, or recommendations using automated or AI-assisted processes.

• • All outputs are assistive only.
• • Authorized Users retain sole responsibility for reviewing, approving, modifying, and delivering any program to an athlete, patient, or client.
• • STRIX does not supervise, control, or validate real-world execution.

Responsibility for safety, suitability, progression, and instruction rests entirely with the Authorized User.

4. Assumption of Risk

Physical training and exercise involve inherent risks, including serious injury, permanent disability, or death.

By using the Services, you knowingly and voluntarily:

• • Assume all risks associated with physical activity and training programs
• • Accept responsibility for injuries or damages arising from use or misuse of the Services
• • Agree that STRIX is not responsible for supervision, execution, or application of exercises

This applies to use of the Services by you and by any third party you train or instruct using STRIX outputs.

5. No Guarantees

The Services are provided "AS IS" and "AS AVAILABLE."

STRIX makes no warranties regarding:

• • Outcomes, performance, or results
• • Accuracy or completeness of outputs
• • Continuous availability or uptime

6. Limitation of Liability

To the maximum extent permitted by law:

• • STRIX shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• • STRIX shall not be liable for injuries arising from exercise performance or reliance on the Services.
• • STRIX's total aggregate liability shall not exceed the amount paid by you to STRIX in the prior twelve (12) months, or $100 if no fees were paid, whichever is greater.

Some jurisdictions limit liability waivers; this section applies to the fullest extent permitted.

7. Indemnification

You agree to indemnify and hold harmless STRIX, its officers, directors, employees, and agents from claims arising out of:

• • Your use or misuse of the Services
• • Training, instruction, or programming you provide
• • Violation of these Terms

8. Intellectual Property

All intellectual property rights in the Services belong to STRIX.

You may not:

• • Reverse engineer or copy the Services
• • Use outputs to build competing products
• • Redistribute proprietary logic or methodologies

Feedback provided becomes the property of STRIX.

9. Termination

STRIX may suspend or terminate access to the Services at any time, with or without notice.

10. Dispute Resolution; Governing Law

These Terms are governed by Delaware law, without regard to conflict-of-laws principles, except where California law is required.

Any dispute shall be resolved through binding arbitration on an individual basis, administered by the American Arbitration Association. Class actions are waived to the fullest extent permitted by law. California residents retain rights to seek public injunctive relief where applicable.

11. Modifications

STRIX may update these Terms at any time. Continued use constitutes acceptance.
